1. Scope and Acceptance

AUVY is operated by AUVY GmbH. These Terms of Service apply to your access to and use of AUVY-operated services, including the public website, Trust Center, developer documentation, APIs, SDKs, CLI, MCP or other developer tooling, preview applications, hosted product environments, and related features or communications (collectively, the Service), unless separate written terms apply.

By accessing or using the Service, you agree to be bound by these Terms and our Data Policy. If you do not agree, you must not use the Service.

If you enter into a separate written agreement with AUVY, such as an order form, master services agreement, statement of work, or data processing agreement, that agreement controls over these Terms to the extent of a conflict.

2. Eligibility, Authority, and Accounts

You must have legal capacity to enter into a binding contract. If you use the Service on behalf of a company, public body, or other entity, you represent and warrant that you have authority to bind that entity, and references to "you" include that entity.

You must provide accurate registration and account information and keep it current. You are responsible for:

  • maintaining the confidentiality of credentials, API keys, tokens, and access methods
  • all activity occurring under your accounts, workspaces, and credentials
  • promptly notifying AUVY if you suspect unauthorized access, compromise, or misuse

You must not share access credentials except as expressly permitted by the Service or your written agreement with AUVY.

3. Service Nature and No Professional Advice

The Service is a software and information platform. It may support research, drafting, workflow execution, memory retrieval, analytics, trust reviews, or other business processes, but it is not a substitute for legal, compliance, regulatory, tax, accounting, employment, insurance, medical, or other professional advice.

You are responsible for reviewing, validating, and approving any content, recommendation, workflow result, model output, or action before relying on it in production, customer-facing, regulated, or other high-impact contexts.

Unless AUVY expressly agrees otherwise in writing, the Service is not designed or licensed for:

  • emergency or life-critical use
  • decisions that require licensed professional judgment without human review
  • unlawful surveillance, profiling, or discrimination
  • autonomous use cases where a failure could reasonably cause death, bodily injury, or severe property or environmental damage

4. Acceptable Use and Security Restrictions

Subject to these Terms, AUVY grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Service for lawful internal business purposes or personal evaluation.

You must not, and must not permit others to:

  • use the Service in violation of law, regulation, court order, or third-party rights
  • access or use the Service to develop or benchmark a competing product except where such activity is expressly permitted by applicable law and these Terms
  • probe, scan, test, or circumvent security controls, authentication measures, rate limits, tenant boundaries, or usage restrictions
  • interfere with the availability, integrity, performance, or operation of the Service
  • introduce malware, harmful code, abusive automation, or content designed to disrupt systems or exfiltrate data
  • upload, submit, or transmit infringing, defamatory, deceptive, harassing, unlawful, or otherwise prohibited content
  • attempt to gain unauthorized access to accounts, workspaces, environments, prompts, outputs, logs, models, systems, or data
  • reverse engineer, decompile, disassemble, copy, or extract source code, models, or underlying components, except where non-waivable law expressly permits it
  • attempt to discover underlying models, model weights, prompts, system instructions, source code, architecture, datasets, or non-public technical methods except as expressly authorized by AUVY
  • use scraping, automated extraction, repeated querying, or similar techniques to harvest outputs or technical information in order to replicate the Service or key parts of it
  • remove proprietary notices or misrepresent the source or authorship of outputs or materials

You are responsible for ensuring your users, contractors, agents, and anyone acting through your account or workspace complies with these Terms.

5. APIs, Developer Tools, and Integrations

If AUVY makes APIs, SDKs, CLI tools, MCP tooling, webhooks, sample code, or integration features available, you may use them only in accordance with the applicable documentation, usage limits, and security requirements.

You must not:

  • use automated means to exceed documented or reasonable request volumes
  • share, resell, publish, or expose API credentials except as expressly allowed
  • rely on undocumented behavior for production-critical functionality
  • use the Service with third-party systems in a way that violates those third parties' terms or security requirements

The Service may interoperate with third-party products, open-source components, model providers, or external tools. AUVY is not responsible for third-party products or services, and their availability, functionality, or terms may affect your use of the Service.

6. Your Data, Content, and Instructions

You retain ownership of data, prompts, files, instructions, messages, configuration, and other materials you submit to the Service (Your Content).

You confirm that:

  • you have all rights, permissions, and legal bases necessary to provide Your Content and instruct AUVY to process it
  • Your Content and your use of the Service will not violate law, third-party rights, confidentiality obligations, or contractual restrictions
  • you will not submit personal data, regulated data, or other sensitive material unless you are authorized to do so and the Service configuration you use is appropriate for that purpose

You grant AUVY a non-exclusive, worldwide, limited license to host, copy, transmit, store, transform, and otherwise process Your Content solely as necessary to provide, secure, maintain, support, improve, and comply with law in relation to the Service.

You are responsible for the legality, accuracy, quality, and suitability of Your Content, your workflows, your prompts, your integrations, and your downstream use of Outputs.

7. AI Features and Outputs

The Service may generate summaries, classifications, recommendations, draft text, structured outputs, semantic matches, or other machine-generated results (Outputs).

Outputs can be imperfect and may be incomplete, inaccurate, outdated, biased, or unsuitable for a particular use case. You are responsible for:

  • evaluating and validating Outputs before use
  • applying human review where appropriate
  • deciding whether Outputs may be relied upon, published, shared with third parties, or used operationally
  • configuring approval gates, permissions, and safeguards for automated workflows

Similarity of outputs across users or to third-party materials may occur. AUVY does not guarantee that Outputs will be unique, non-infringing, factually correct, or fit for every purpose.

You must not represent Outputs as verified facts, legal advice, professional advice, or statements made by AUVY unless AUVY has expressly approved that representation in writing.

8. Confidential Trust Materials

The Trust Center, security review materials, audit summaries, questionnaires, roadmap details, and related non-public documents or communications made available by AUVY may contain confidential information.

Unless AUVY states otherwise in writing, you may use such materials only for the purpose of evaluating, procuring, securing, or governing your use of the Service. You must not disclose them to third parties except to your employees, advisors, or contractors who have a legitimate need to know and are bound by confidentiality obligations at least as protective as those in this section.

You must protect non-public AUVY materials with reasonable care and stop using or delete them if AUVY requests it, except to the extent retention is required by law.

9. Fees, Taxes, and Commercial Terms

Some parts of the Service may be offered free of charge, while other features, plans, environments, or services may require payment.

If you purchase paid offerings, you agree to pay applicable fees, taxes, and charges as described in the relevant order, checkout flow, or written commercial terms. Unless otherwise stated:

  • fees are stated exclusive of taxes
  • payments are non-refundable except where required by law or expressly stated otherwise
  • AUVY may suspend paid access for overdue amounts after reasonable notice

If a separate written commercial agreement applies, it controls over this section to the extent of a conflict.

10. Intellectual Property and Feedback

The Service, including all software, models, workflows, user interfaces, design, trademarks, branding, documentation, and related technology, is owned by AUVY or its licensors and protected by applicable intellectual property laws.

Except for the limited rights expressly granted in these Terms, no rights are granted to you by implication, estoppel, or otherwise.

If you provide suggestions, ideas, enhancement requests, corrections, or other feedback about the Service, AUVY may use that feedback without restriction or compensation to you, and you grant AUVY a perpetual, irrevocable, worldwide, sublicensable, royalty-free license to do so.

11. Beta Features, Roadmap, and Service Changes

Some features may be labeled alpha, beta, preview, experimental, or similar. Those features may have reduced security, support, or availability commitments and may change, be limited, or be discontinued over time.

Statements about planned features, roadmaps, integrations, or future functionality are for informational purposes only and are not binding commitments.

AUVY may modify the Service to improve security, legal compliance, performance, or functionality.

12. Monitoring, Suspension, and Termination

To protect the Service, users, and third parties, AUVY may collect and review relevant usage information and logs for security, abuse prevention, capacity planning, billing, support, and legal compliance, subject to applicable law and our Data Policy.

AUVY may suspend, restrict, or terminate access, including immediately where reasonably necessary, if:

  • you breach these Terms or any applicable written agreement
  • your use poses a security, legal, or operational risk
  • payment is overdue for a paid offering after reasonable notice
  • AUVY reasonably suspects fraud, abuse, unauthorized access, or other prohibited activity
  • continued provision is not reasonably practicable due to law, regulation, court order, supplier action, or force majeure

Where practicable, AUVY will provide notice and an opportunity to address the issue before suspension or termination.

You may stop using the Service at any time. Upon termination or suspension, your right to use the Service ends, but sections that by their nature should survive will survive, including sections on confidentiality, intellectual property, feedback, disclaimers, indemnification, limitations of liability, and governing law.

13. Warranties Disclaimer

To the fullest extent permitted by law, the Service is provided on an "as is" and "as available" basis.

AUVY disclaims all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, quiet enjoyment, or results from use of the Service.

Without limiting the foregoing, AUVY does not warrant that the Service or any Outputs will be uninterrupted, error-free, available at all times, fully accurate, complete, current, recoverable, or suitable for your needs.

14. Indemnification

To the fullest extent permitted by law, you will indemnify and hold harmless AUVY, its affiliates, and their respective directors, officers, employees, and agents from and against third-party claims, liabilities, damages, judgments, fines, penalties, costs, and expenses (including reasonable legal fees) to the extent arising out of:

  • Your Content
  • your breach of these Terms
  • your violation of applicable law or third-party rights

This section does not apply to the extent a claim results from AUVY's intent, gross negligence, or other liability that cannot be excluded under applicable law.

15. Limitation of Liability

To the fullest extent permitted by law, AUVY will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, contracts, goodwill, use, data, or anticipated savings, even if advised of the possibility of such damages.

To the fullest extent permitted by law, AUVY's total aggregate liability arising out of or relating to the Service or these Terms will not exceed the higher of:

  • the amounts paid by you to AUVY for the relevant paid Service in the 12 months preceding the event giving rise to the claim, or
  • EUR 100

Nothing in these Terms excludes or limits liability to the extent such liability cannot be excluded or limited under applicable law, including liability for intent, gross negligence, injury to life, body, or health, fraudulent concealment, or mandatory product liability.

16. Export Control and Sanctions

You may not use, export, re-export, provide access to, or permit use of the Service in violation of applicable export control, trade, or sanctions laws.

You represent and warrant that you are not located in, organized under the laws of, or ordinarily resident in a country or territory subject to comprehensive sanctions that would prohibit provision of the Service, and that you are not a prohibited or restricted party under applicable law.

17. Governing Law and Venue

These Terms are governed by the laws of the Federal Republic of Germany, excluding its conflict-of-law rules.

If you are a merchant, legal entity under public law, or special fund under public law, the exclusive venue for disputes arising out of or in connection with these Terms is Munich, Germany. Mandatory consumer protection laws remain unaffected.

18. Changes to These Terms

AUVY may update these Terms from time to time. Material changes will be posted on this page with a revised last-updated date. Unless otherwise required by law, changes become effective when posted.

If you continue to use the Service after updated Terms become effective, you agree to the updated Terms.

19. Miscellaneous

These Terms constitute the entire agreement between you and AUVY regarding the subject matter here, except for any separate written agreement that applies.

If any provision of these Terms is held unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

Failure by AUVY to enforce any provision is not a waiver.

You may not assign or transfer these Terms or any rights under them without AUVY's prior written consent. AUVY may assign these Terms in connection with a reorganization, financing, merger, acquisition, asset sale, or by operation of law.

AUVY is not liable for failure or delay caused by events beyond its reasonable control, including failures of suppliers, infrastructure providers, telecommunications, labor disputes, natural disasters, acts of government, or cyber incidents beyond reasonable control.
